These Terms of Service ("Terms") govern your access to and use of the SuprSchool website, application, and related services (collectively, the "Services") provided by Praxnal Technologies Private Limited ("Praxnal," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Eligibility

The Services are intended for use by schools, educational institutions, and authorized personnel acting on their behalf. By using the Services, you represent that you have the authority to bind your institution to these Terms, where applicable.

2. Description of Services

SuprSchool is a platform designed to enhance the experience of school life. During our pre-launch and early access phases, features may be limited, modified, or unavailable. We reserve the right to update, suspend, or discontinue any aspect of the Services at any time.

3. Founding School Program

Schools that apply and are accepted into the Founding School program may receive early access and, for the first 100 accepted schools, lifetime access to SuprSchool as described on our website. Acceptance into the program is at our sole discretion. Program benefits are subject to continued compliance with these Terms and may be modified with reasonable notice.

4. Account Registration

You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of applicable laws
  • Upload, transmit, or share content that is harmful, offensive, or infringes on the rights of others
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or attempt to extract source code from the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Use automated means to access the Services without our prior written consent

6. Intellectual Property

All content, features, and functionality of the Services — including text, graphics, logos, software, and design — are owned by Praxnal or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

7. User Content

You retain ownership of content you submit through the Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display such content solely for the purpose of providing and improving the Services. You represent that you have all necessary rights to submit such content.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Third-Party Services

The Services may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of third-party services. Your use of such services is at your own risk and subject to their terms.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAXNAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless Praxnal and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
